Terms of Use
This document is an electronic record in terms of the Information Technology Act, 2000 and the rules thereunder. This electronic record is generated by a computer system and does not require any physical or digital signatures. This Terms of Use (also referred to as “Terms and Conditions” or “Terms”) is published in accordance with the applicable provisions of Indian law, and constitutes a legally binding agreement.
These Terms of Use (“Terms”) govern the access and use of the website www.vinfer.ai (the “Website”) and the use of any products or services provided by IntelliAgent Innovations Private Limited (doing business as “VInfer”) including our agentic voice automation platform Neuron and our post-call analytics layer NeuronLens (collectively, along with the Website, the “Services” or “Platform”). In these Terms, “Company”, “we”, “us”, or “our” refers to IntelliAgent Innovations Private Limited (CIN: U62013KA2025PTC200872), a company registered in India with its office at No. 71, Halasuru Road, Yellappa Chetty Layout, Sivan Chetty Gardens, Bengaluru – 560042, Karnataka, India. “You” or “User” refers to the person or legal entity who is accessing or using the Website or Services.
PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL POLICIES INCORPORATED HEREIN BY REFERENCE.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Services.

1. Scope of Agreement and Services
1.1 Scope
These Terms govern the use of the Website and Services. Separate contractual agreements, such as a Service Order Form or a Master Services Agreement ("Service Order"), will govern the specific commercial terms for the provision of the Neuron and NeuronLens products, including pricing, service levels, and data processing terms. In the event of a conflict between these Terms and a Service Order, the terms of the Service Order shall prevail solely with respect to the conflicting provision and the specific services covered by that Service Order.
1.2 Access and Use
VInfer grants you a non-exclusive, non-transferable, revocable right to access and use the Services strictly in accordance with these Terms and any applicable Service Order.
2. Eligibility and Account Registration
2.1 Eligibility
- At least 18 years of age (or the age of legal majority in your jurisdiction).
- Competent to enter into a legally binding contract under applicable law.
- Not barred from receiving the Services under the laws of India or any other applicable jurisdiction.
2.2 Account Information
- You may be required to register an account to use certain Services.
- You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.
- You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account.
- You must immediately notify VInfer of any unauthorized use of your account.
3. License and Intellectual Property
3.1 VInfer Intellectual Property
All rights, title, and interest in and to the Services (including but not limited to the Website, Neuron, NeuronLens, all software, AI models, algorithms, technology, content, trademarks, logos, and patents) are and will remain the exclusive property of VInfer and its licensors. The Services are protected by copyright, trademark, and other laws of India and foreign countries.
3.2 Customer Data
You retain all rights, title, and interest in and to the data, information, voice recordings, and other content that you or your end-users transmit, process, or store through the Services ("Customer Data").
License to VInfer: You grant VInfer a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and modify the Customer Data solely for the purpose of:
- Providing, maintaining, and improving the Services.
- Developing and improving VInfer’s AI models and algorithms, provided that any use for improvement purposes is based on aggregated or anonymized data that cannot be linked back to you or your end-users.
3.3 Feedback
If you provide VInfer with any feedback, comments, or suggestions regarding the Services (“Feedback”), you grant VInfer an irrevocable, perpetual, transferable, non-exclusive, royalty-free license to use, copy, modify, publish, and distribute the Feedback for any purpose without any obligation or compensation to you.
4. Acceptable Use Policy
You agree not to misuse the Services. You shall not, and shall not permit any third party to:
- Use the Services in any way that violates any applicable local, state, national, or international law, including the Information Technology Act, 2000, and its rules.
- Use the Services to engage in any activity that is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable.
- Use the Services to transmit or process any content that is infringing, libellous, unlawful, or violates the privacy rights of others (e.g., call interception without required consent).
- Reverse engineer, decompile, or disassemble any aspect of the Services, except to the extent such restriction is prohibited by law.
- Access or tamper with non-public areas of the Services, VInfer’s computer systems, or the technical delivery systems of VInfer’s providers.
- Probe, scan, or test the vulnerability of any system or network.
- Interfere with or disrupt the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Services.
- Attempt to gain unauthorized access to the Services or related systems or networks.
VInfer reserves the right to suspend or terminate your access to the Services immediately, with or without notice, if we reasonably believe you have violated this Section 4.
5. Payment, Subscription, and Cancellation
Specific terms related to payment, subscription, pricing, and cancellation are set forth in the applicable Service Order. Unless otherwise specified in a Service Order:
- Invoicing and Payment: All fees are due and payable in advance according to the billing cycle specified. You authorize VInfer to charge your payment method for all applicable fees.
- Taxes: All fees are exclusive of applicable taxes. You are responsible for all sales, use, value-added, or other taxes imposed by any governmental entity.
- Cancellations: You may cancel your subscription in accordance with the terms of your Service Order. No refunds will be provided for any unused portion of a subscription period unless otherwise specified in the Service Order.
6. Confidentiality
Definition: "Confidential Information" means any information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") in connection with these Terms that is marked as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Customer Data is considered your Confidential Information.
Obligation: The Receiving Party will use the Disclosing Party’s Confidential Information only to exercise its rights and fulfill its obligations under these Terms and will use reasonable care to protect against unauthorized disclosure.
Exclusions: Confidential Information does not include information that: (a) is or becomes publicly available without breach of these Terms; (b) was known to the Receiving Party before its disclosure by the Disclosing Party; (c) is received from a third party without breach of any confidentiality obligation; or (d) was independently developed by the Receiving Party without reference to the Disclosing Party’s Confidential Information.
Required Disclosure: The Receiving Party may disclose Confidential Information to the extent required by law or a valid court order, provided it notifies the Disclosing Party beforehand (to the extent legally permissible).
7. Termination
7.1 Termination by You
You may terminate these Terms or your use of the Services at any time by ceasing all use of the Services and, if applicable, cancelling your account in accordance with the Service Order.
7.2 Termination by VInfer
VInfer may terminate these Terms and suspend or terminate your access to the Services immediately if:
- You breach any material provision of these Terms (e.g., Section 4).
- You fail to pay applicable fees when due.
- VInfer is required to do so by law.
7.3 Effect of Termination
Upon termination, your right to use the Services immediately ceases.
All provisions of these Terms which, by their nature, should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
VInfer will handle Customer Data in accordance with its data retention policy and the relevant Service Order.
8. Warranties and Disclaimers
8.1 Limited Warranty
VInfer warrants that the Services will substantially conform to the documentation accompanying the Services (if any). Your sole and exclusive remedy for a breach of this warranty shall be governed by the Service Level Agreement (if applicable).
8.2 Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED IN SECTION 8.1, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. VInfer SPECIFICALLY DISCLAIMS ALL OTHER WARRANTIES, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VInfer DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.
9. Indemnification
You agree to indemnify, defend, and hold harmless VInfer, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:
- Your misuse of the Services.
- Your breach of these Terms.
- Your violation of any law or the rights of any third party (including, without limitation, any privacy or intellectual property rights).
- Any claim that the Customer Data infringes the intellectual property rights of a third party.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VInfer, ITS AFFILIATES, OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF VInfer, ITS AFFILIATES, OR ITS SUPPLIERS FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF (A) ONE THOUSAND INDIAN RUPEES (INR 1,000) OR (B) THE AMOUNT YOU PAID TO VInfer FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
11. Data Protection and Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You agree that VInfer may collect, use, and share your information in accordance with that Privacy Policy.
Client Responsibility: You, as the client (Data Controller/Fiduciary), are solely responsible for compliance with all laws regarding the collection and use of end-user data processed through Neuron and NeuronLens, including obtaining all necessary consents and providing required disclosures to your end-users.
12. Changes to Terms
VInfer reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the revised Terms on the Website or through other reasonable means. By continuing to access or use the Services after the revised Terms become effective, you agree to be bound by the revised Terms.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
13.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.
- Seat of Arbitration: Bengaluru, Karnataka, India.
- Language: The language of the arbitration shall be English.
- Arbitrator: The dispute shall be referred to a sole arbitrator mutually appointed by the parties. If the parties fail to agree on an arbitrator within thirty (30) days, the appointment shall be made in accordance with the rules of the Arbitration and Conciliation Act, 1996.
13.3 Jurisdiction
Subject to the arbitration provision above, the Courts in Bengaluru, Karnataka, India, shall have exclusive jurisdiction to entertain any suit or legal proceedings arising out of these Terms.
14. Miscellaneous
14.1 Entire Agreement
These Terms, together with any applicable Service Order and the Privacy Policy, constitute the entire and exclusive agreement between VInfer and you regarding the Services.
14.2 Waiver and Severability
The failure of VInfer to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
14.3 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without VInfer’s prior written consent. VInfer may assign these Terms without restriction.
14.4 Force Majeure
VInfer will not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, riots, embargos, acts of civil or military authorities, fire, floods, accidents, or strikes.
14.5 Relationship of the Parties
The parties are independent contractors. These Terms do not create any partnership, joint venture, employer-employee, or agency relationship between you and VInfer.
14.6 Compliance with Laws
The Services are controlled and operated from India. VInfer makes no representation that the Services are appropriate or available in other locations. Users who access the Services from outside India do so at their own initiative and are responsible for compliance with all applicable local laws. You agree not to use or export any part of the Services (including software) in violation of any export or import laws of any jurisdiction. For example, you will not use the Services in, or export them to, countries or persons embargoed by the Government of India or other applicable export control regimes.
14.7 Language
These Terms are written in the English language. In the event these Terms are translated into any other language, the English language version shall prevail to the extent of any inconsistency.
